Founding Ambassador Program Terms
You promote Telcomia. We pay commission on confirmed sales attributed to your link or code. On top of commissions, the Program awards €1,781,000 in performance bonuses — the top 3 are paid at six sales milestones and again at every 10,000 sales — including €1,000,000 to the #1 ambassador when the Program reaches 1,000,000 Valid Sales. Bonuses are earned by ranking on confirmed sales. Sales confirm after 30 days. Fraud means immediate disqualification. Estonian law, arbitration in Tallinn. These are performance-based bonuses, not sweepstakes, lotteries, raffles or games of chance. Full terms below.
§1Parties and Object
§2Definitions
- Ambassador: person admitted to the Program with a unique ref_code and active status.
- Founding Ambassador: limited subset of 50 seats, with permanent grandfathered terms (§5.4).
- Plan: eSIM product or subscription sold by Telcomia.
- Sale: order with status paid.
- Valid Sale: strict definition in §6.2. Only Valid Sales generate economic right.
- Milestone: one of the six accumulated sales thresholds defined in §8.1 (H1 to H6).
- Global counter: cumulative sum of Valid Sales attributed to all Ambassadors since the Program start. Single, progresses from 0 to 1,000,000, never resets.
- Top Performance Bonus: €1,000,000 awarded to the #1 of the ranking when the global counter reaches 1,000,000 Valid Sales (§9). Performance-based bonus, not a prize draw or sweepstake.
- Fraud: conducts listed in §12.
§3Admission, status and duration
Admission to the Program is at Telcomia's discretion. The first 50 seats have Founding Ambassador status. Telcomia may close Founding intake when the 50 seats are filled, reserve seats for strategic profiles, and exclude technical/PREVIEW ref_codes from counting toward the 50.
The Founding status is permanent for the Ambassador while these Terms are complied with and the account is not suspended, disqualified or closed pursuant to §§12 and 13.
§3.4 Indefinite continuity. The Program has no preset closing date. It is intended to continue while Telcomia operates commercially, without prejudice to the modification and termination powers of §§14 and 15.
§4Tracking, attribution and customer discount
Each Ambassador receives a unique ref_code and a personal referral link. Attribution mechanisms in order of priority: (a) tracking cookie tc_aff after a Click, (b) discount code at checkout, (c) Group Master Sale (when a Group Master is an Ambassador, members' purchases are attributed to the Master).
Attribution is last-click within window. Cookie windows: 120 days for Founding Ambassador, 90 days for Standard.
Customer discount: every customer arriving via Ambassador link receives an automatic 5% discount. The Ambassador can dynamically adjust the offered discount in the 0–15% range from their panel; the offered discount does not increase the Ambassador's commission rate. Exception: Plans classified as Blocked (minimum-margin micro-plans) carry neither commission nor customer discount.
§5Commission tiers
Each Plan is auto-classified into one of five tiers based on commercial margin. Commission rates on the net price of the Valid Sale (excluding taxes, FX, gateway fees and customer discount):
| Tier | Founding | Standard |
|---|---|---|
| Premium | 15% | 12% |
| Standard | 12% | 8% |
| Tight | 7% | 5% |
| Excluded | 0% | 0% |
| Blocked | 0% | 0% |
Group Master Sales (when Groups attribution is enabled): +3 percentage points on the base tier. Founding grandfathering: Founding rates and the 120-day cookie are not reducible while the Ambassador holds Founding status, even if Standard conditions are modified.
§6Valid Sale and confirmation window
Only Valid Sales generate economic right. A Sale is Valid when ALL the following are met: (a) status paid in Telcomia systems and payment received by the processor; (b) 30 calendar days have passed without refund, chargeback, dispute, return, void or cancellation; (c) the order is not flagged for review, fraud, self-purchase or duplicate; (d) the buyer does not share identifiers with the Ambassador listed in §12; (e) the Plan is not in tier Excluded; (f) the Sale is not part of a Fraud pattern (§12).
§6.3 Retroactive reversibility. A Sale that already became Valid may lose that status retroactively if a refund or chargeback occurs (including after the initial 30 days), if Fraud is detected, or if the buyer initiates a dispute. In those cases Telcomia removes the Sale from the global counter and the Ambassador's ranking (even retroactively after a Milestone has been reached), deducts the corresponding commission from the next payout and may demand repayment under §7.5.
The Ambassador accepts that the calculation base for commissions, Bonuses and Top Performance Bonus eligibility is always net of refunds.
§7Calculation and payment of commissions
Commissions accrue when a Sale becomes Valid (§6.2). Payouts run monthly between days 1–15 of month M+1, subject to a minimum threshold of €50; balances below threshold roll over.
Payment methods: Stripe Connect (preferred when available), SEPA in EUR (EU/EEA), Wise (international). Bank fees and FX on the Ambassador's side are deducted from the payout.
§7.5 Recovery of undue payments. If Telcomia identifies that it has paid commissions, Bonuses or other amounts on Sales that subsequently lose Valid status (§6.3) or are related to Fraud, Telcomia may: (a) offset against future payouts; (b) require repayment within 15 calendar days from notification; (c) sue under §20 including legal interest and recovery costs.
§8Performance Bonuses — Linear model
The Program awards Bonuses across six Milestones (H1–H6) based on a single global counter of Valid Sales. The counter is unique and progressive: it climbs from 0 to 1,000,000 Valid Sales with no resets. When the counter crosses a Milestone threshold, the top 3 of the ranking for that Milestone are paid. Each Milestone is paid out once. The ranking — both for Milestones and for every 10,000-sale window — is determined by the number of Valid Sales each Ambassador has generated (sales volume), ranked highest first; ties are broken under §8.8.
| Milestone | Threshold | #1 | #2 | #3 | Total |
|---|---|---|---|---|---|
| €H1 | €10,000 | €2,000 | €1,000 | €500 | €3,500 |
| €H2 | €50,000 | €10,000 | €5,000 | €2,500 | €17,500 |
| €H3 | €100,000 | €20,000 | €10,000 | €5,000 | €35,000 |
| €H4 | €250,000 | €40,000 | €20,000 | €10,000 | €70,000 |
| €H5 | €500,000 | €60,000 | €30,000 | €15,000 | €105,000 |
| €H6 | €1,000,000 | €1,000,000 | €150,000 | €50,000 | €1,200,000 |
Column totals: #1 = €1,132,000 · #2 = €216,000 · #3 = €83,000. Grand total: €1,431,000 across 18 podium positions (6 Milestones × 3), including the €1,000,000 Top Performance Bonus in H6. All bonuses are performance-based; no random draws or lotteries.
§8.6 Post-Milestone protection window (90 days)
After each Milestone is reached, a 90-day protection window applies during which the ranking may be adjusted downward due to refunds, chargebacks, fraud audit findings, or detection of non-Valid Sales. Bonuses are not paid before the window ends. The global counter may keep advancing toward the next Milestone during the window, without prejudice to Telcomia's right to retroactively correct rankings.
§8.8 Ties
When two or more Ambassadors tie in Valid Sales for a position, the tie is broken by total commission generated and, if still tied, by earlier admission to the Program, so each position has a single holder.
§8 bisRecurring bonuses — every 10,000 sales
In addition to the six Milestones in §8, the Program pays a recurring performance bonus to the top 3 of the leaderboard at every 10,000 Valid Sales of the global counter, from 10,000 up to 1,000,000 — one hundred (100) payout points in total. At each point the bonus is €2,000 to #1, €1,000 to #2 and €500 to #3.
§8bis.2 Per-window ranking. Ranking at each point is measured by the Valid Sales each Ambassador generates within that 10,000-sale stretch (per-window ranking), not by the cumulative total. This lets different Ambassadors be rewarded throughout the Program and keeps the competition open at every stage.
§8bis.3 Independent and additional. These recurring bonuses are independent of and additional to the six Milestone bonuses in §8 and the Top Performance Bonus in §9. When a 10,000-sales point coincides with a Milestone threshold, both bonuses are paid. The recurring pool totals €350,000 (100 × €3,500), bringing the Program's total performance-bonus pool to €1,781,000.
§8bis.4 Common rules. The same confirmation, protection-window, tie-breaking and anti-fraud rules of §6 and §8 apply. These are performance-based bonuses earned by ranking on confirmed sales — not a sweepstake, lottery, raffle or game of chance.
§9Top Performance Bonus — The Million-Euro Race
The Top Performance Bonus is a single payment of one million euros (€1,000,000) to the Ambassador placing #1 in the ranking at the moment the global counter reaches 1,000,000 Valid Sales (Milestone H6). The Bonus is earned exclusively by ranking position on confirmed sales — it is not awarded by chance, draw, raffle or sweepstake.
§9.2 Legal nature. The Top Performance Bonus constitutes a contractual obligation subject to a suspensive condition under Estonian law (General Part of the Civil Code Act, in particular its provisions on conditional transactions — tingimuslik tehing). It is NOT a sweepstake, gambling, betting, lottery, raffle, game of chance, prize draw, or any figure subject to gambling regulation. The Bonus is contingent on objective, measurable, performance-based criteria (ranking by confirmed sales) and is fully earned by the highest-ranking Ambassador.
§9.5 Payment term. Maximum 180 calendar days from the official announcement of the winner.
§9.7 Taxes. Paid gross. All taxes, social security contributions and any other public charges are entirely the winner's responsibility under the tax residence regime applicable to them. Depending on jurisdiction, marginal rates may exceed 47% (e.g., top bracket of Spanish IRPF on general income), so the net amount actually received by the winner will be materially lower than the gross figure. The Ambassador acknowledges this and waives any claim against Telcomia for the resulting tax burden.
§9.8 Public communication. The winner contractually agrees to participate in the public announcement (official photo, video, press note). Telcomia bears reasonable associated costs. Unjustified refusal allows Telcomia to withhold the Bonus.
§10Events, activations and co-marketing
Throughout the Program, Telcomia will run multiple events and initiatives of all kinds to promote Ambassadors and give visibility to their work and their adventure. Telcomia actively listens to Ambassador proposals — every idea, including the most ambitious and creative ones, will be heard and debated with the team, and those especially.
§10.2 Discretionary nature. The events, activations, travel, collaborations and co-marketing initiatives described in §10 are carried out at Telcomia's sole discretion, based on its commercial judgment and budget availability at any given time. They constitute a statement of intent of collaboration and mutual promotion, and do NOT constitute an enforceable contractual obligation, an acquired economic right, or a commitment to any determined or guaranteed expenditure in favour of any Ambassador. Not running a specific initiative, or not adopting an Ambassador's proposal, gives no right to indemnity or claim. These initiatives are additional to and independent from commissions (§5) and Performance Bonuses (§§8–9), which do constitute economic rights on the terms described herein.
§10.3 Travel rewards and derived sweepstakes. Telcomia may award travel or other experiences as performance recognition. The Ambassador who receives them may enjoy them, gift them to a third party, or run their own promotional action under their rules and sole responsibility. Telcomia does not organize or participate in derived sweepstakes; compliance with applicable regulation (Spain Law 13/2011, DGOJ, UK Gambling Commission, ANJ France, etc.) is entirely the Ambassador's responsibility.
§11Ambassador obligations
- Honest promotion: no false statements, no unauthorized guarantees, no misleading information.
- Affiliate disclosure: include #ad / #affiliate / partnership in every public promotion (FTC, Spanish Autocontrol, UK ASA).
- No PPC bidding on "Telcomia" or variants without written authorization; no impersonation of official channels.
- No spam in any medium (email, SMS, messaging).
- Sole responsibility for regulatory compliance, self-employment registration, income declaration, data protection vis-à-vis followers.
§12Prohibited conduct — Fraud
Fraud includes, individually or in combination:
- Purchases by the Ambassador, spouse, family up to second degree, or financially dependent persons.
- Purchases from emails linked to the Ambassador (aliases, +tag subaddresses).
- Purchases sharing payment fingerprint (Stripe card, SEPA, PayPal) with the Ambassador.
- Purchases from devices with matching technical fingerprint.
- Over 10% of Sales from a single IP or device_fingerprint in a 30-day window.
- Over 60% of Sales concentrated on a single plan_id (cheap-plan farming).
- Non-human patterns or anomalous peaks inconsistent with organic audience behaviour, subject to anti-fraud review.
- Refund rate over 10% of Sales in any measurement period.
- Refund spikes concentrated post-Milestone closure (>15% in 90 days after closure — classic pattern of cashing out a Bonus then refunding).
- Systematic chargebacks compatible with buyer-Ambassador coordination.
- Inducement to buy and refund, use cards not owned by the buyer, or initiate disputes.
- Cookie stuffing, iframe tricks, hidden redirects, malware altering attribution.
- UTM manipulation or attempts to re-attribute prior Sales of other Ambassadors.
- Pages, accounts or ads presented as Telcomia official channel.
- Targeting minors or protected groups, illegal contexts, misleading advertising, dark patterns, coordinated fake reviews.
List is illustrative, not exhaustive.
§13Immediate disqualification and consequences
Zero tolerance for Fraud. Detection of ANY conduct in §12 allows immediate action without prior notice:
- Immediate disqualification from the Program.
- Total loss of Founding status and grandfathered rights.
- Cancellation of all pending Valid Sales attributed to the Ambassador.
- Loss of unpaid Bonuses (with open protection window), plus the Top Performance Bonus if disqualified before payment.
- Recovery of commissions, Bonuses and any other amounts paid in the prior 12 months, to be repaid within 15 calendar days from notification.
- Suspension of pending payouts as offset.
- Account closure and blocking of future admissions under any linked identity.
- Communication to other affiliate platforms and payment processors when gravity warrants.
- Legal action for damages and recovery costs under §20.
The Ambassador has 15 calendar days from notification to submit written reply to legal@telcomia.com. Final decision communicated within 30 days. Filing a reply does not suspend the measures above.
§14Modification of the Program
Telcomia may modify these Terms with 30 days' notice. Modifications affecting Founding grandfathered conditions require express consent or allow termination without penalty with full payment of accrued amounts.
§14.3 Stability of Top Performance Bonus and Bonuses. The €1,000,000 Top Performance Bonus and the Bonus structure in §8.1 and §8 bis (total pool €1,781,000) cannot be unilaterally reduced, eliminated or replaced by lesser-value bonuses during the ordinary lifecycle of the Program, with the only exceptions expressly regulated in these Terms: (i) force majeure under §16; (ii) Program closure by Telcomia under §15.4, which triggers the prorated payout formula set out therein; (iii) retroactive corrections under §6.3 due to refunds, chargebacks or detected Fraud. Bonuses already earned and confirmed (after expiry of the §8.6 protection window) are irrevocable, subject only to §6.3.
§15Termination
By the Ambassador: at any time via ambassadors@telcomia.com. Processed within 15 days with payment of accrued commissions per §7.
By Telcomia for cause: per §§12 and 13.
By Telcomia without cause: 60 days' notice; full payment of accrued amounts; Bonuses for Milestones not yet reached do not accrue.
§15.4 Program closure by Telcomia. Telcomia may close the Program with 12 calendar months' notice. (a) Accrued commissions paid on ordinary calendar; (b) Bonuses of Milestones already reached and confirmed paid in full; (c) Top Performance Bonus prorated by formula: €1,000,000 × (global Valid Sales at closure / 1,000,000), distributed among top 3 of lifetime ranking 50%/30%/20%.
§16Force majeure and corporate operations
No party is liable for breaches due to force majeure (natural catastrophes, war, pandemics, regulatory blockades, processor blockades, critical cyberattacks). Adverse regulatory changes allow Telcomia to adapt the Program with proportional compensation per §15.4. In acquisition/merger/change of control: (a) the Program continues with the acquirer subrogated; (b) if the acquirer does not continue, Ambassadors receive proportional compensation equivalent to §15.4 with 90-day reduced notice from consummation.
§17Personal data and privacy
Telcomia processes Ambassador personal data under GDPR (Regulation EU 2016/679) and the Privacy Policy at /privacy. The Ambassador is responsible for processing personal data of their followers. Sales information shared with the Ambassador is aggregated and anonymized; buyer identity is only disclosed during Fraud investigation under §12.
§18Confidentiality
The Ambassador maintains confidentiality of non-public Program information (wholesale rates, technical integrations, roadmap, supplier identity) during the Program and for 2 years post-termination.
§19Assignment
The Ambassador cannot assign their contractual position, ref_code, or economic rights without Telcomia's prior written consent. Telcomia may assign these Terms in corporate operations (§16) without Ambassador consent.
§20Governing law, mediation and dispute resolution
These Terms are governed by the law of the Republic of Estonia, excluding conflict-of-law rules and the CISG.
Mandatory prior mediation. Before any contentious procedure, parties shall attempt good-faith resolution via direct email (legal@telcomia.com) for a minimum of 30 days. Communications may be in Spanish or English.
Arbitration. Disputes unresolved in mediation shall be exclusively submitted to arbitration administered by the Estonian Chamber of Commerce and Industry Court of Arbitration, single arbitrator, seat in Tallinn, language English. Award final, binding, enforceable under the New York Convention 1958.
Exceptions to arbitration: Telcomia may resort to ordinary courts for liquidated amounts under €10,000 (§§7.5/13), interim measures, and IP defense.
§21General provisions
These Terms constitute the entire agreement. Partial nullity: surviving clauses remain in force; parties negotiate good-faith substitution.
Authoritative language: the English version is authoritative; translations are informational; English prevails in case of interpretive discrepancy.
